Terms of Service
By using GooseDock you agree to these Terms — a legally binding contract under the Information Technology Act 2000 and Indian Contract Act 1872.
1. Acceptance of Terms
By accessing or using the GooseDock platform (the "Platform") — including registering as a Client, Agency, or Vendor — you ("User") agree to be bound by these Terms of Service, our Privacy Policy, Refund Policy, and all incorporated guidelines. If you do not agree, you must not use the Platform.
2. Eligibility
- You must be at least 18 years of age and capable of entering a legally binding contract under Indian law.
- Agencies must hold a valid PSARA license issued by the appropriate state authority.
- Vendors must be a registered business entity (proprietorship, partnership, LLP, or company).
- Clients must be authorized to procure security services on behalf of their organization.
3. Account Registration
You agree to provide accurate, current, and complete information during registration. GooseDock reserves the right to verify any information, suspend, or terminate accounts found to be falsified, fraudulent, or non-compliant with applicable law.
You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
4. Platform Services
GooseDock is a technology intermediary connecting Clients seeking security services with PSARA-verified Agencies and ancillary Vendors. GooseDock is not a security service provider, employer, or guarantor of any contract executed between Users.
The actual security service contract is between the Client and the Agency directly. GooseDock facilitates the discovery, anonymous bidding, and identity-reveal stages only.
5. Anonymous Bidding
- Identities of both Clients and Agencies remain fully anonymous until the deal is accepted, both commission payments are received, and identity reveal is triggered by the admin.
- All Users agree not to attempt to identify, contact, or solicit counterparties outside the Platform during the anonymous phase.
- Circumvention of anonymity may result in immediate ban and forfeiture of any pending payments.
6. Commission & Fees
- Agency Commission — 2% of contract value (Normal plan) or 1% (Premium plan)
- Client — pays no commission and no posting fee. Unlimited free tender posts
- Vendor Listing — ₹3,400/year for a public profile listing
- Backout Fee — ₹500 if an Agency cancels after deal acceptance
- Bid Credits — ₹500 for a pack of 2 additional bids (Normal plan agencies)
7. Payment Terms
All commission and fee payments must be made via UPI to GooseDock@upi. Both parties must remit their commission share before identity reveal. Once verified by Admin, contact details are disclosed to both parties via email and the Platform.
Payments are non-refundable except as expressly set out in our Refund Policy.
8. Vendor Listings
Vendors purchase listing rights for visibility on GooseDock's public Vendor Directory. Listings are subject to:
- Admin approval and compliance review
- Accurate description of products/services offered
- Adherence to all consumer-protection and advertising laws
- Annual renewal at the prevailing listing fee
- Removal at GooseDock's sole discretion if quality issues arise
9. User Conduct
Users shall not:
- Post false, misleading, defamatory, or unlawful content
- Impersonate any individual or entity
- Solicit Users outside the Platform during the anonymous phase
- Use automated tools (scrapers, bots) to access Platform data
- Engage in price-fixing, collusion, or anti-competitive behavior
- Attempt to reverse-engineer, hack, or breach platform security
10. Confidentiality
Tender details, bid amounts, agency identities, and client identities — until reveal — are strictly confidential. Disclosure to third parties without consent constitutes a material breach of these Terms and may result in immediate account termination plus liability for damages.
11. Intellectual Property
All Platform content — design, code, logos, copy, layouts — is the exclusive property of GooseDock. Users grant GooseDock a non-exclusive, royalty-free license to display submitted content (vendor logos, listings, profile descriptions) for the sole purpose of operating the Platform.
12. Disclaimers
The Platform is provided "as-is" and "as-available". GooseDock disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. GooseDock does not warrant that:
- Any Agency or Vendor will perform satisfactorily
- The Platform will be uninterrupted or error-free
- Bids will be received for any specific tender
- The Platform is free of viruses or harmful components
13. Limitation of Liability
To the maximum extent permitted by law, GooseDock's aggregate liability for any claim shall not exceed the total fees paid by the User to GooseDock in the 3 months preceding the claim. GooseDock shall not be liable for indirect, consequential, special, exemplary, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility.
14. E-Sign & Digital Agreement Validity
14.1 Electronic Acceptance
By:
- Clicking "I Agree"
- Registering on the Platform
- Making payment
You agree that this constitutes a valid electronic contract under:
- Information Technology Act, 2000
- Indian Contract Act, 1872
14.2 Legal Enforceability
This agreement shall be:
- Legally binding
- Equivalent to a physically signed contract
14.3 Electronic Records
All records maintained by GooseDock — including registrations, payments, and click-acceptance logs — shall be considered valid legal evidence in a court of law.
14.4 No Physical Signature Required
Users (Vendor / Client / Agency) expressly agree that:
- No physical signature is required
- Digital acceptance (typed name + click) is sufficient and enforceable
15. Termination
GooseDock may suspend or terminate your account at any time, with or without notice, for breach of these Terms, suspected fraud, or any conduct that harms the Platform or its users. On termination:
- Your access ends immediately
- Pending bids are auto-withdrawn
- Any commission already due remains payable
- Sections 10 (Confidentiality), 11 (IP), 13 (Liability), 14 (E-Sign) survive termination
16. Governing Law & Jurisdiction
These Terms are governed by and construed under the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
